User, you, or your refers to the individual or entity accessing or using our Website or Services.
Pivot Key provides professional computer systems design, integration, and engineering services within the Computer Systems Design and Related Services sector. Our service offerings include systems architecture, embedded engineering, integration, cloud infrastructure, security engineering, and technical advisory. The specific scope, deliverables, timelines, and fees for any engagement shall be defined in a separate written Statement of Work or Engagement Agreement executed by both parties. In the event of any inconsistency between these Terms and a signed Statement of Work, the Statement of Work shall govern with respect to that engagement.
All content, materials, designs, code, documentation, methodologies, tools, frameworks, specifications, and deliverables created by Pivot Key remain our sole and exclusive intellectual property unless otherwise expressly agreed in writing. Upon full payment of all fees due under the applicable Engagement Agreement, the client receives a non-exclusive, non-transferable, perpetual license to use the specific deliverables created for that client solely for their internal business purposes. This license does not transfer ownership of any underlying intellectual property. The Pivot Key name, logo, and brand elements may not be used, reproduced, or displayed without prior written permission from the Company.
When using our Website or Services, you agree to: provide accurate, current, and complete information when requested; use our Website and Services only for lawful purposes in compliance with all applicable laws and regulations; not engage in any activity that could damage, disable, overburden, or impair our systems or networks; not attempt to gain unauthorized access to any part of our systems, accounts, or data; and not use automated means including bots, scrapers, or crawlers to access our Website without our express written permission.
Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of any engagement, including business strategies, technical specifications, source code, financial data, trade secrets, and proprietary methodologies. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was already in the receiving party's lawful possession, is independently developed without use of the disclosing party's information, or is obtained from a third party not subject to a confidentiality obligation.

These Terms, together with any specific service agreements entered into between you and Pivot Key, constitute the entire and exclusive agreement between the parties regarding the subject matter hereof, superseding all prior or contemporaneous communications, proposals, agreements, or understandings, whether written or oral.
